the Company's Nominating Committee("NC") considers factors such as needs and requirements of the
Company, the composition of the Board of Directors (the "Board"), and the ability of the prospective

The Board, after reviewed the recommendation from the NC as well as the professional expertise,
competency and suitability of Mr Huang Xuhua ("Mr Huang"), approved the appointment of Mr Huang as an
